This End User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) (”User”) and UltiHash, Inc. ("Licensor"), for the UltiHash software ("Software") provided along with this EULA. By installing, or otherwise using the Software, you agree to be bound by the terms of this EULA.
The Licensor grants you a non-transferable, non-exclusive license to use the Software according to the Terms of Service previously agreed to. This EULA does not allow for the Software to be rented, leased, or otherwise used for commercial benefit by third parties.
The Software is the intellectual property of and is owned by the Licensor. You may not modify, reverse engineer, decompile, or disassemble the Software. The structure, organization, and code of the Software are valuable trade secrets and confidential information of the Licensor. You must not disclose or use such confidential information except as expressly authorized by the Licensor.
This license is personal to the User, and may not be transferred to anyone without the prior written consent of the Licensor. Any unauthorized transfer of the license shall result in immediate and automatic termination of this EULA.
The Software is provided 'as is' without warranty of any kind, either express or implied. Licensor ensures that the Software is developed to high standards but makes no guarantees that it will function without interruption or error. Licensor disclaims all other warranties and conditions, whether express, implied, or statutory, including, but not limited to, any (if any) implied warranties, duties, or conditions of merchantability, of fitness for a particular purpose, of reliability or availability, of accuracy or completeness of responses, of results, of workmanlike effort, of lack of viruses, and of lack of negligence, all with regard to the Software, and the provision of or failure to provide support services.
This EULA is effective until terminated. You may terminate it at any time by destroying all copies of the Software and all of its component parts. It will also terminate immediately if you fail to comply with any term of this EULA. Upon termination, you must destroy all copies of the Software.
The Software may periodically receive updates, which are provided based on the service tier of your subscription as described in our Terms of Service, regardless of the tier, updates are provided automatically.
Any dispute arising from or relating to this EULA shall be resolved by arbitration or mediation, prior to any court action. If arbitration or mediation is unsuccessful, the dispute shall be submitted to a competent court in the state of Delaware, United States.
This EULA is governed by the laws of the State of Delaware, United States, without regard to Delaware's conflict of laws principles.
This EULA must be read in conjunction with our Terms of Service and Privacy Policy, which are referenced herein. The terms and conditions of the Terms of Service are incorporated herein by reference.
