These Terms of Service ("Terms") govern your use of UltiHash's software and services ("Software") provided by UltiHash, Inc and UltiHash GmbH (together referred to as the "Licensor”). The Licensor offers two products: UltiHash Serverless and UltiHash Self-Hosted. When necessary, these Terms refer to them separately using those specific names. Otherwise, references to "the Software" apply to both products. By accessing or using the Software, the user ("User") agrees to be bound by these Terms.
The Licensor offers two products: UltiHash Self-Hosted and UltiHash Serverless. Access terms differ by product.
UltiHash Self-Hosted:

The Software usage is calculated in binary gigabytes (GB), where 1 GB is 2^30 bytes. This unit of measurement is also known as a gibibyte (GiB), defined by the International Electrotechnical Commission (IEC). Similarly, 1 TB is 2^40 bytes, i.e. 1024 GBs.
The Licensor hereby grants the User non-transferable, non-exclusive licenses to use the Software in accordance with these Terms. The Software is proprietary and is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The User is prohibited from modifying, reverse engineering, decompiling, or disassembling the Software.
The Licensor provides support across bothUltiHash Self-Hosted and UltiHash Serverless products, with different levels depending on the chosen tier.
UltiHash Self-Hosted:
UltiHash Serverless:
All Serverless Users receive the same support, including a dedicated Slack channel. Support is available Monday through Friday, from 9:00 AM to 5:00 PM CET, via Slack and the contact form available in the UltiHash User Dashboard.
The Licensor aims to provide a reliable and high-performing service across both UltiHash Self-Hosted and UltiHash Serverless products. While the Licensor does not guarantee uninterrupted access, the Licensor makes commercially reasonable efforts to maintain availability.
For paid tiers of UltiHash Self-Hosted (Premium and Enterprise), a standard Service Level Agreement (SLA) applies. Enterprise customers may also define tailored SLAs by contacting the Licensor.
For UltiHash Serverless, a separate SLA applies to all cluster sizes.
These SLAs include specific uptime commitments and support response targets.
All intellectual property rights in the Software and any related services are owned by the Licensor. Unauthorized use, reproduction, or distribution of the Software is strictly prohibited.
The Software may be used only in accordance with applicable local laws where it is employed, provided such use also complies with the governing law applicable to the specific product in use, as set forth in these Terms. Unauthorized use, including but not limited to unauthorized copying, distribution, or creation of derivative works, is prohibited.
The User is responsible for maintaining the security and confidentiality of their account information, including passwords. The User agrees to abide by all applicable laws and regulations in their use of the Software and to not upload or transmit any content that violates these laws.
Updates to the Software will be issued and documented publicly on our website.

The Licensor reserves the right to delete the User’s account violating these terms immediately. The Licensor also reserves the right to delete Freemium access that has been inactive for a period longer than 365 days and to discontinue the Freemium service at any given time with a notice of 90 days.
These Terms are governed as follows:
Before initiating formal legal proceedings, the Licensor and the User agree to make reasonable efforts to resolve disputes amicably, including through arbitration or mediation where appropriate.
The applicable governing law and jurisdiction are determined by the specific product in use.
The Licensor reserves the right to terminate your access to the Software without notice and without liability if the User breaches these Terms.
The User may not use the Software to:
(a) violate any applicable law or regulation;
(b) infringe the intellectual property rights of others;
(c) transmit anything that is illegal, abusive, harassing, harmful to reputation, pornographic, indecent, profane, obscene, hateful, or otherwise objectionable;
(d) send spam or distribute malware;
(e) interfere with or disrupt the integrity or performance of the Software or third-party data contained therein.
The Licensor reserves the right to investigate and take appropriate action, including suspension or termination of accounts, for violations.
If the User subscribes to a paid plan, the User agrees to pay all applicable fees in accordance with the pricing and billing terms presented to the User at the time of purchase. All fees are non-refundable, except as required by law. The Licensor reserves the right to change pricing at any time, and any such changes will be communicated in advance. Failure to pay may result in suspension or termination of access to the Software.
The Software is provided “as is” and “as available,” without warranties of any kind, either express or implied. The Licensor disclaims all warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. The Licensor does not warrant that the Software is uninterrupted or error-free, or that any data will be secure or not lost.
To the maximum extent permitted by law, the Licensor shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) the User’s access to or use of or inability to access or use the Software; (b) any conduct or content of any third party on the Software; or (c) unauthorized access, use, or alteration of the User’s transmissions or content. For UltiHash Self-Hosted, the User is solely responsible for the deployment, operation, and security of the Software in their environment, and the Licensor is not liable for any issues arising from your infrastructure, configuration, or third-party integrations.
The Licensors total liability for any claim, regarding UltiHash Self-Hosted or UltiHash Serverless, arising out of or relating to these terms or the Software shall not exceed the greater of five hundred dollars ($500) or the amount of the subscription payment, if any, in the past three months of the Software usage.
The User agrees to indemnify, defend, and hold harmless the Licensor, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal and accounting fees, arising out of or in any way connected with the use of the Software, the violation of these Terms, or infringement of any intellectual property or other rights of any third party.
The Licensor reserves the right to modify these Terms at any time. The User continued use of the Software following such modifications constitutes the acceptance of the new Terms.
